End User License Agreement (EULA)

Pre-Alpha Test NoticeThis End User License Agreement (“EULA”) governs your access to and use of the KinVest software application, web platform, interfaces, tools, and related services (collectively, the “Software”). KinVest is currently in a pre-alpha evaluation and testing stage. By installing, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not install, access, or use the Software.

1. Grant of Limited License

Subject to your strict compliance with the terms and conditions of this Agreement and our Terms of Service, KinVest grants you a personal, revocable, limited, non-exclusive, non-transferable, and non-sublicensable license to access, view, and use the Software on devices that you own or control, solely for internal, non-commercial, and personal family wealth coordination and pre-alpha evaluation purposes.

This license does not convey any title, ownership, or proprietary interest in or to the Software. All rights not expressly granted to you under this Agreement are strictly reserved by KinVest and its licensors.

2. Pre-Alpha Evaluation & Testing Status

You expressly acknowledge and agree that the Software is an experimental, pre-alpha evaluation release provided solely for testing, feedback, and demonstration purposes. As a pre-alpha release:

The Software may contain defects, errors, design flaws, or operational interruptions.
Features, interfaces, simulation models, and backend endpoints may be altered, replaced, or discontinued at any time without notice.
Account configurations, simulated balances, family tree structures, and transaction ledgers are test artifacts subject to modification, reset, or permanent deletion at any time without liability.
All banking, debit card, vault balance, barter credit, and investment figures describe simulated sandbox operations and do not represent actual fiat currency or financial accounts.

3. License Restrictions and Prohibited Conduct

Except as expressly authorized by applicable law, you shall not, directly or indirectly:

Copy, modify, adapt, translate, or create derivative works of the Software or any component thereof.
Decompile, reverse engineer, disassemble, decipher, or otherwise attempt to derive or determine the source code, underlying algorithms, protocols, or structure of the Software.
Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or make available the Software to any third party for commercial purposes or time-sharing arrangements.
Bypass, circumvent, disable, or tamper with any security controls, digital rights management, rate limits, or access verification mechanisms implemented in the Software.
Use automated scripts, bots, scrapers, or crawlers to extract data, content, or system information from the Software.
Use the Software for any unlawful purpose, including fraud, money laundering, harassment, infringement of third-party intellectual property rights, or violation of applicable financial and export regulations.
Conduct benchmark tests, security penetration tests, or vulnerability analyses of the Software without prior written authorization from KinVest.

4. Intellectual Property Ownership

The Software, including but not limited to its source code, object code, user interface designs, layout algorithms, mathematical models, forecast simulators, graphic assets, documentation, trademarks, service marks, and trade names (including “KinVest”), is and shall remain the sole and exclusive property of KinVest and its licensors.

The Software is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You agree not to remove, alter, or obscure any copyright notices, trademark legends, or other proprietary markings displayed on or within the Software.

5. User Feedback and Contributions

If you provide KinVest with any suggestions, bug reports, feature requests, evaluations, or other feedback regarding the Software (“Feedback”), you hereby grant KinVest a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable right to use, implement, commercialize, modify, and exploit such Feedback in any manner and for any purpose without restriction, compensation, or attribution to you.

6. Third-Party Software and Integrations

The Software may incorporate or interface with third-party software components, open-source libraries, cloud database infrastructure (including MongoDB Atlas), error tracking tools (including Sentry), and Banking-as-a-Service sandbox APIs (including Unit.co). Such third-party components are governed by their respective licenses and terms of service.

KinVest makes no warranties, express or implied, regarding the availability, performance, or accuracy of third-party services and disclaims all liability resulting from third-party systems or outages.

7. Updates, Modifications, and Maintenance

KinVest may from time to time develop and deploy updates, upgrades, bug fixes, patches, and new modules (“Updates”). Updates may modify or delete certain features and functionalities. You agree that KinVest has no obligation to provide any Updates, continue providing or enabling any particular feature, or maintain backwards compatibility with earlier versions or test data.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND DEFECTS, WITHOUT WARRANTY OF ANY KIND.

KINVEST EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, SYSTEM INTEGRATION, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, KINVEST MAKES NO WARRANTY THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE SECURE OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KINVEST, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF PROFITS, DATA LOSS, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR SYSTEM FAILURE) ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF KINVEST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF KINVEST AND ITS LICENSORS ARISING UNDER OR RELATED TO THIS AGREEMENT EXCEED FIFTY U.S. DOLLARS ($50.00) OR THE TOTAL FEES PAID BY YOU TO KINVEST FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS LESS.

10. Indemnification

You agree to defend, indemnify, and hold harmless KinVest and its officers, directors, employees, contractors, agents, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of this Agreement, your misuse of the Software, your violation of any third-party right, or any content or test data you submit to the platform.

11. Term, Revocation, and Termination

This Agreement commences on the date you first download, install, access, or use the Software and shall remain in effect until terminated. KinVest may immediately terminate or suspend this Agreement and your license to the Software at any time, with or without cause, and with or without prior notice.

Upon termination, your license rights shall immediately cease, and you must discontinue all access to and use of the Software. Sections 3, 4, 5, 8, 9, 10, 12, 13, and 14 shall survive any termination of this Agreement.

12. Export Compliance and Sanctions

You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable domestic and international export control laws and economic sanctions.

13. Governing Law and Dispute Jurisdiction

This Agreement and any dispute arising out of or related to the Software shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.

Any legal action, suit, or proceeding arising out of or related to this Agreement shall be instituted exclusively in the federal or state courts located in New York County, New York, and each party irrevocably submits to the personal jurisdiction and venue of such courts.

14. Relationship to Terms of Service & Severability

This Agreement supplements and is incorporated into the KinVest Terms of Service and Privacy Policy. In the event of an explicit conflict between this EULA and the Terms of Service regarding software licensing, the terms of this EULA shall govern with respect to the Software license.

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
